1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of Tatvaone.ai, Proctorly.ai, Adviora.ai, BrahmaGPT.ai, Cookiera.ai (“Services”). By accessing or using the Service (directly or via your institution’s LMS), you agree to be bound by these Terms and our Privacy Policy.

2. Definitions

  • User: any individual authorised to access the Service (faculty, agency, student, instructor, admin, others.).
  • Customer: the institution contracting our Service.
  • Session: a proctoring examination instance. User logged in duration on respective platforms as per Services.
  • Violation: a behaviour flagged by our system or proctor.
  • Personal Data: as defined in our Privacy Policy.

3. Service Description

3.1 Adviora.ai

Adviora.ai provides AI-driven marketing automation, analytics, and ad-management tools that allow Customers to:

  • Connect advertising accounts (Google, Meta, etc.)
  • Manage campaigns
  • Generate creative content
  • Analyze performance
  • Automate optimization workflows

3.2 Proctorly.ai

Proctorly.ai provides browser based AI-driven online exam proctoring, exam analytics, and student exam behaviour analytics tools that allow Customers to:

  • Connect their LMS to the platform
  • Manage LMS based Exams
  • Conduct LMS based online video and audio proctored exams
  • Analyze examination conduction logs
  • Analyze students’ behavior logs for the online proctored exams conducted.

3.3 BrahmaGPT.ai

BrahmaGPT.ai provides customised vertical LLM and hosting services tools with analytics that allow Customers to:

  • Query content aligned large language models
  • Generate usage statistics
  • Generate lesson plans & learning objectives
  • Summarize units and generate practice questions
  • Analyze customer learning gaps and logs

4. Use of the Service

4.1 Licence – We grant you a limited, non-exclusive, non-transferable licence to use the Service.

4.2 Conditions – You agree to:

  • Provide accurate registration information.
  • Use the Service only for authorised activities.
  • Comply with institutional policies and applicable data protection laws.

4.3 Prohibited Conduct – You may not:

  • Upload unlawful or infringing content.
  • Tamper with monitoring systems.
  • Share credentials or impersonate others.

5. Account Registration & Access

You may register via OAuth / LMS integration. You must keep your credentials confidential. Access may be suspended for policy violations.

6. Compliance with Data Protection Laws

We comply with GDPR, DPDPA (India), UAE PDPL, and relevant U.S. laws. You agree that we may process data in accordance with these laws.

7. Intellectual Property

We and our licensors retain all rights to the Service, software, documentation and trademarks.

8. Adviora.ai Customer Responsibilities

  • Comply with Google & Meta Ads policies.
  • Maintain billing methods in their own ad accounts.
  • Provide accurate business & campaign data.
  • Grant/revoke necessary permissions via OAuth.
  • Not misuse the platform.

9. Adviora.ai Customer Data Ownership & Usage

  • Customer owns: ad account data, campaign structures, assets, insights.
  • Adviora owns: algorithms, AI suggestions, platform features.
  • Customer may export reports upon termination.

10. Access to Advertising Accounts

Adviora accesses ad accounts only after explicit authorization, and users may revoke access anytime.

11. API Access, Tokens, and Compliance

  • OAuth and API credentials must follow platform rules.
  • We comply with Google Ads API & Meta Marketing API policies.
  • We are not liable for API access revocation by platforms.

12. Fees & Billing

  • Fees must be paid as per contract.
  • No refunds unless stated.
  • Platform fees exclude media spend.

13. Termination

We may suspend or terminate access for misuse, non-payment, policy violations, or legal reasons.

14. Warranties & Disclaimers

The Service is provided “as is” without warranties of any kind.

15. Limitation of Liability

Liability is limited to fees paid in the last 12 months (or USD 100 if none).

16. Indemnification

You agree to indemnify us for claims arising from your misuse or policy violations.

17. Changes to Terms

We may update these Terms and publish updated versions on our website.

18. Governing Law & Dispute Resolution

These Terms are governed by UAE law. Disputes will be resolved in the specified jurisdiction.

19. Miscellaneous

  • These Terms + Privacy Policy form the full agreement.
  • No waiver unless stated.
  • Invalid clauses will be removed without affecting the rest.
  • You may not assign these Terms without consent.
